Shareholders are hereby invited to the Extraordinary Shareholders’ Meeting of Brasil Brokers Participações S.A. (“Company”), to be held at 9:00 a.m. on July 28, 2008, at the Company’s headquarters located at Avenida das Américas nº 500, bloco 19, sala 301, parte, CEP 22640-904, in the city and state of Rio de Janeiro, Brazil, to decide on the stock split of the shares issued by the Company, by each share will be represented by 100 shares. Approval for the stock split proposal will result in the amendment of article 5 of the Company’s Bylaws so as to reflect the new number of shares of its capital stock, which will increase from 1,639,732 (one million, six hundred thirty-nine thousand, seven hundred thirty-two) shares to 163,973,200 (one hundred sixty-three million, nine hundred seventy-three thousand, two hundred) shares. Shareholders as of July 31, 2008, will be entitled to receive the shares from the split in case the proposal is approved. The new shares will carry the same rights as the current shares traded, including the full payment of dividends and/or interest on equity announced by the Company.

Pursuant to Article 7, paragraphs 3 and 4 of the Company’s Bylaws, shareholders must present their ID card and proof of their shareholding interest in the Company issued by the depositary institution or custodial agent. Shareholders may be represented by proxy, pursuant to Article 126, Paragraph 1 of Law 6404/76 of December 15, 1976, as amended (“Brazilian Corporate Law”), in which case the statements issued by the depositary institution about the book-entry shares or shares held in custody and the powers-of-attorney must be submitted to the Company’s head office at least three (3) days prior to the Shareholders’ Meeting.
