MATERIAL FACT

Brasil Brokers Participações S.A. ("Brasil Brokers" or "Company"), a publicly held corporation with common shares traded on the Novo Mercado Special Corporate Governance segment of the São Paulo Stock Exchange (Bovespa) under the ticker BBRK3, in accordance with CVM Instruction 358/2002 and the Material Facts disclosed on August 5 and August 27, 2008, informs its shareholders and the general market the following:

1. On August 5, 2008, the Company and Abyara Planejamento Imobiliário S.A., a publicly held corporation with common shares traded on the Novo Mercado Special Corporate Governance segment of the São Paulo Stock Exchange (Bovespa) under the ticker ABYA3 and Abyara - Assessoria, Consultoria e Intermediação Imobiliária Ltda. (jointly “Abyara”) entered into an Investment Agreement through which Brasil Brokers acquired, through the subscription and purchase of shares, the controlling interest in Abyara Brokers Intermediação Imobiliária S.A. (“Abyara Brokers”), a company incorporated to provide brokerage, consulting and/or advisory services for the acquisition of real estate that until said date were performed by Abyara.

2. On August 26, 2008, the Company effected the investment mentioned in the above item, subscribing shares under the increase in the capital of Abyara Brokers and executing an Option Agreement for the Purchase of Stock issued by Abyara Brokers Intermediação Imobiliária S.A. (“Stock Option Agreement”), through which Abyara granted the Company the option to acquire an interest in the capital of Abyara Brokers, with maturity dates occurring one, two and three years as of the signature date of the Stock Option Agreement, with the corresponding option exercise amounts calculated based on the net income and P/E multiple of Abyara Brokers and subject to a limit in relation to the Company’s market capitalization.

3. On August 26, 2009, the Company exercised the option related to the maturity date in 2009, and acquired common shares representing 29.592% (twenty-nine point five nine two percent) of the total common shares issued by Abyara Brokers held by Abyara, which corresponds to 145,002 (one hundred forty-five thousand and two) shares in Abyara Brokers (“Option Shares”), representing 14.5% (fourteen point five percent) of the common registered shares issued by Abyara Brokers. As a result, Brasil Brokers now holds 65.5% (sixty-five point five percent) of the capital in Abyara Brokers.

4. The option exercise price for this transaction was R$ 1.00 (one real) for the total number of Option Shares.
