MATERIAL FACT

Brasil Brokers Participações S.A. (“Brasil Brokers” or “Company”), a publicly-held company with common shares traded in the Novo Mercado segment of BM&FBOVESPA under ticker BBRK3, in compliance with the provisions in CVM Instruction 358/2002 hereby announces to its shareholders and the market in general its decision to transform its subsidiaries (jointly, the “Subsidiaries”) into limited liability companies, with the purpose of reducing costs, improving the management and simplifying procedures.

As a result, our Subsidiaries “Ética”, “Sardenberg” and “Frema” have already been transformed into limited liability companies, and as such will henceforth be managed in accordance with the rules applicable to these types of companies; Brasil Brokers will retain its shareholding percentages in the Subsidiaries, and the Founding Partners will receive the dividends to be distributed by the Subsidiaries disproportionately to their shareholdings, according to performance and meritocracy criteria that will be applied once each of the Subsidiaries is transformed into a limited liability company.

The Company undertakes to maintain its shareholders and the market in general informed of subsequent events and to provide additional information through BM&FBOVESPA, the Brazilian Securities and Exchange Commission (CVM) and its web site (www.brbrokers.com.br).
